Jenny Constable
Jenny graduated from the University of Warwick in 1993 with an honours degree in European Law. She trained at Macfarlanes and qualified in 1997. She spent four years at Berwin Leighton before joining Davenport Lyons in 2000. She became an Associate in 2004.
Jenny’s practice focuses on general corporate and commercial work dealing mainly with M&A, joint ventures and partnership agreements. She has also advised a number of public companies seeking a listing on AIM and Euronext.
Recent experience includes:
- Advising a number of companies, including film companies, and high net worth individuals on their joint ventures, including drafting shareholders’ agreements and articles of association.
- Advising on fund-raising and joint ventures by means of a partnership structure, including giving general advice on the establishment and termination of a partnership.
- Advising on corporate matters including capital re-organisations, reduction or cancellation of share capital, share buy-backs, loan notes and other Companies Act provisions.
- Drafting and advising on other commercial arrangements, including confidentiality agreements, heads of terms and lock-out agreements.
- Advising both insolvency practitioners and corporate buyers with regard to the sale and purchase of assets from companies in administration.
- Acting for the Louis Group on the acquisition of Belgravia Property Funds Limited.
- Acting for Underdog Restaurants on their fund-raising, including advice on issuing and verifying a private placing memorandum.
- Acting for Singapore listed Frasers Property Group in relation to its recent re-organisation and re-financing.
- Acting for Max Petroleum plc on its application to join the AIM market of the London Stock Exchange.
- Advising Opportunity Investment Management plc on its admission to Euronext Brussels.
- Acting for Eatonfield Group plc, an AIM listed company, on its placing of ordinary shares to raise £7.4million.
- Advising a waste management company on its placing and IPO (on AIM).
Jenny also undertakes pro bono work and is a member of the firm’s Women in Business Group.
Jenny enjoys spending time with her family, travelling, going to the theatre and catching up with friends over a glass of wine.
