Susan Lewis
Susan’s practice focuses on complex developments (single sector and mixed use), investment acquisitions & disposals, joint ventures, property finance and funding within the office, retail (both food and non-food), and warehouse and leisure sectors. She has specialist expertise in Hotels and her development and hotel work has involved her in transactions throughout Europe, the Middle East and the Caribbean.
Recent experience includes:
- Advising on a £150million mixed use City centre scheme, including the drafting and settlement of a complex conditional development agreement, pre-letting agreements and development finance facility.
- Advising a leading investment bank on the launch of a £200million Hotel Property Fund which as well as involving input into the Information Memorandum involved the drafting and negotiation of a Framework Agreement with a hotel operator and settling a standard suite of documents including the operating lease (with complex and unusual base and turnover rent provisions), Works Agreement, Business Transfer Agreement and Charge.
- Advised on the acquisition, development and letting a mixed use retail and leisure town centre scheme of approximately 120,000 square feet. The scheme required a complex bespoke joint venture agreement with the local authority, development of a 10 screen cinema, Bowling Centre, Restaurant and Health & Fitness Club with combined retail all requiring conditional pre-let agreements.
- Acting for a UK based Hotel company in relation to a large number of hotel acquisitions and developments involving the negotiation and settlement of conditional agreements for lease, operating leases, management agreements and franchise licences with Ramada, Six Continents Hotels (Holiday Inn) and Hilton International.
- On behalf of a consortium of private investors operating through special purpose vehicles established in the relevant localities acting on the acquisition of sites in St Lucia and the Turks & Caicos for the development on each site of a luxury hotel resort development (including residential condominiums and villas) which work has included the negotiation and settlement of a Licence and Management Agreement with Banyan Tree and working with local lawyers on planning, infrastructure agreements and satisfaction of local sponsorship requirements.
- Acting for an Investment Fund on the £39million acquisition of the headquarters of a major Plc affected partly through bank funding and partly on the purchase of participations in a Limited Partnership established specifically for the purpose.
- Acting on behalf of a major Plc, managing a team of assistants on two separate projects involving the inter-group transfer of approximately 60 sites, dealing with all necessary conveyancing work. The second project involved a further 120 sites on which inter-group leases and mast licences were granted and registrations dealt with.
Her considerable experience and reputation is recognised by her listing as a Leading Expert in the Legal 500 and Legal Expert Directory. In the last two years Susan has been heavily involved in the ‘sustainability’ agenda, advising clients and presenting seminars and papers on the Energy Performance of Buildings Regulations and anticipated UK and European legislation such as the introduction of the Climate Change Bill.
Outside the office Susan is a keen cook, gardener and skier.
