Jenny graduated from the University of Warwick in 1993 with an honours
degree in European Law. Having trained at Macfarlanes she joined
Berwin Leighton Paisner in their Corporate Finance Department in
1997 before joining Davenport Lyons in December 2000. She became
an Associate in July 2004
Jenny specialises in general corporate work dealing mainly with the acquisition and disposals of companies, joint ventures and partnership agreements.
Recent experience and clients include:
- Acting for the owners/managers of a hairdressing business and the sale of part of their business to The Wella Group for approximately £6,000,000 involving the issue of guaranteed loan notes.
- Acting for a major water company in its £80 million disposal programme of its main non-core activities.
- Acting for global retail company in its divestment programme of shoe shops which included an auction process.
- Acting for a film company in respect of setting up a partnership to promote a number of projects, including giving general advice on the establishment and termination of a partnership.
- Acting for a US Christian media company in respect of disposing of its UK subsidiary to a charitable organisation in the UK.
- Advising a number of companies and high net worth individuals on their joint ventures, including drafting Shareholders' Agreements and Articles of Association.
- Providing general commercial advice to a number of dot com companies taking into account, in particular, cross border corporate set-up issues.
- Advising on cancellation of share capital and other Companies Act provisions.
- Advising clients on other commercial arrangements, including Confidentiality Agreements, Heads of Terms and Lock-Out Agreements.
- Drafting Executive Service Contracts and other employment documentation.
