| Jonathan
joined Davenport Lyons as a partner in January 2004
from US firm Cozen O’Connor and is a senior
corporate lawyer. His expertise involves acquisitions
and disposals for companies in the financial services,
manufacturing, retail, gaming and leisure sectors
and he also acts as general counsel and advises for
a number of high net-worth family groups in relation
to their UK and international interests. Jonathan
enjoys providing legal, strategic and all-round business
solutions.
Jonathan has extensive experience of corporate and
financial cross-border transactions and was previously
joint head of banking and financial services at Lovells.
Jonathan also served as General Counsel to Citibank
N.A. in the UK and Europe, with responsibility for
English law matters worldwide.
Recent matters have included:
- Advising participants on a secured sub-participation
financing with a major US investment bank.
- Acting on behalf of an offshore group of companies
in respect of complex offshore secured financing
and re-scheduling.
- Advising a range of leisure and retail businesses
in relation to business and strategic matters.
- Advising on the disposal of insurance portfolios
on behalf of a US based global insurance business.
- Advising a listed US gaming company on its business
and regulatory matters in relation to UK acquisitions
and expansion.
- Advising on secured refinancing arrangements
on behalf of US investors for an international technology
group.
- Advising Mission Capital plc on its first acquisition:
KML – a parking garage management business.
- Advising on the acquisition of a specialised
telecommunications engineering company for US clients.
- Advising on the acquisition of a software development
company on behalf of listed US clients.
- Advising on a wide range of acquisitions, as
well as commercial and service agreements for a
private branded UK – ATM network.
Jonathan acts on the Board of several
UK companies and has been a regular speaker on banking
and financial services issues for the Institute of
Bankers, The International Bar Association, The American
Bar Association and The Centre for Commercial Law
Studies, Queen Mary’s College, London University.
He is a member of the International Bar Association
and the American Bar Association. Jonathan graduated
from Downing College, Cambridge with an MA in law.
