| Rebecca
graduated from Manchester University in 1986 with an
LLB (Honours) in law. She did her articles at Clifford
Chance before qualifying into the company department
of Clifford Chance in November 1989. Rebecca left Clifford
Chance to join Herbert Smith at the beginning of 1996.
She spent nearly four years in the company department
of Herbert Smith before joining Davenport Lyons as a
partner in 1999.
Her expertise and selected recent client experience
includes:
- Advising on the AIM flotations of Music Copyright
Solutions Plc, Max Petroleum Plc, Minorplanet Systems
Plc and Talent Group Plc.
- Advising on the £60m sale of Agent Provocateur
to 3i Group plc.
- Acting for 9 years as lead counsel for The Capita
Group Plc on all of its private company acquisitions
and other corporate requirements.
- Acting for a number of fully listed companies including
Northern Leisure Plc, Marshalls Plc, Hillsdown Holdings
plc, First Choice Plc, Burford Holdings Plc and Blick
Plc on private company and business acquisitions as
well as private placings, rights issues and bonus
issues.
- Advising the World Gold Council on the English
law aspects of its US$2bn offering of units through
the Street TRACKS® Gold Trust.
- Acting on a number of public company takeovers including
that of Etam Plc.
- Advising on applications to OFEX by New Media Industries
plc and Music Copyright Solutions PLC.
- Acting for HML Holdings plc on its demerger from
LTC Holdings plc and application for admission to
the AIM market.
- Advising the Lewis Trust Group on the demerger
and re-structuring of Dmatek Ltd, an AIM listed
Israeli Company.
- Acting for the Louis Group on the acquisition of
Belgravia Property Funds Limited.
- Advising on various private company fund raisings.
- Advising on the regulatory aspects of raising
finance in the UK.
