Davenport Lyons, led by Elizabeth Davis acted for The Producers Productions Limited (the Producer) in relation to this ITV drama starring Brenda Blethyn (a BAFTA nomination), Rosemary Harris, Anna Massey, Kevin Whately and Peter Sallis.
As lawyers for the production company one of the initial issues to consider is to ensure that all "chain of title" documentation is in good order. In the case of this production it was based on a novel and thus an option agreement and assignment of rights between the author and the production company was required. The individual who then wrote the script (based on the novel) also had to enter into a separate agreement for the provision of his writing services to the production company. So too, as lawyers for the production, DL handled all artists' agreements.
However, any producer's lawyers will be required to help with the financing structure/documentation as well as just the more straightforward cast/crew etc agreements and, on this deal the producer was relying on a loan from a bank (The Royal Bank of Scotland plc) in order to finance and complete the production. As a result, the producer needed to enter into a facility letter (loan) with the bank (the producer acting as borrower) and, given that a bank will not lend without taking some sort of security, the bank took a charge over the production company in relation to its rights in the programme.
